The general terms and conditions are registered at the Chamber of Commerce Oost-Brabant: Chamber of Commerce Oost-Brabant no.:17171568. Stratecution b.v. and Strat/Assess als software model are registered at the Dutch tax authorities.
You should carefully read the following terms and conditions before using this software. Unless you have a different license agreement signed by STRATECUTION b.v., your use of this software indicates your acceptance of this license agreement and warranty.
Registered Version
One registered copy of STRATECUTION Strat/Assess may either be used by a single person who uses the software personally on one or more computers, or installed on a single workstation used non simultaneously by multiple people, but not both.
You may access the registered version of STRATECUTION Strat/Assess through a network, provided that you have obtained individual licenses for the software covering all workstations that will access the software through the network. For instance, if 8 different workstations will access on the network, each workstation must have its own STRATECUTION Strat/Assess license, regardless of whether they use STRATECUTION Strat/Assess at different times or concurrently. Each license can be used on 3 computers.
Governing Law
This agreement shall be governed by the laws of the Netherlands.
Disclaimer of Warranty
THIS SOFTWARE AND THE ACCOMPANYING FILES ARE SOLD "AS IS" AND WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. Because of the various hardware and software environments into which STRATECUTION Strat/Assess may be put, NO WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE IS OFFERED.
Good data processing procedure dictates that any program be thoroughly tested with non-critical data before relying on it. The user must assume the entire risk of using the program. ANY LIABILITY OF THE SELLER WILL BE LIMITED EXCLUSIVELY TO PRODUCT REPLACEMENT OR REFUND OF PURCHASE PRICE.
Evaluation and Registration
This is not free software. Subject to the terms below, you may have access to use the DEMOVERSION for evaluation purposes without charge for a period of 14 days. If you intend to use this software in an operational version after the 14 days DEMOVERSION evaluation period, you can order the required version via the website:www.Stratecution.nl or contact STRATECUTION (Clientdeskstratecution@online.nl) on getting an operational registered version of STRATECUTION Strat/Assess. Unregistered use of STRATECUTION Strat/Assess after the 14-day evaluation period is in violation of U.S. and international copyright laws.
Distribution
IMPORTANT READ CAREFULLY: This STRATECUTION Strat/Assess End-User License Agreement (EULA) is a legal agreement between you (either an individual or a single entity) and STRATECUTION B.V. for the STRATECUTION Strat/Assess software product identified above, which includes computer software and associated media and printed materials (if any), and may include online or electronic documentation (SOFTWARE PRODUCT or SOFTWARE). By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this Agreement, you are not authorized to use the SOFTWARE PRODUCT.
The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.
1. GRANT OF LICENSE. This EULA grants you the following rights: Use and Copy. STRATECUTION grants to you the right to use copies of the SOFTWARE PRODUCT only in conjunction with validly licensed copies of, STRATECUTION Strat/Assess . You may make copies of the SOFTWARE PRODUCT for use on all computers for which you have licensed of STRATECUTION Strat/Assess. You may also make copies of the SOFTWARE PRODUCT for backup and archival purposes.
2. RESTRICTIONS.
- You must maintain all copyright notices on all copies of the SOFTWARE PRODUCT.
- You may not distribute copies of the SOFTWARE PRODUCT to third parties.
- You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
- You may not separate the SOFTWARE PRODUCT into its component parts for use on more than one computer.
- You may not rent or lease the SOFTWARE PRODUCT.
- You may permanently transfer all of your rights under this EULA only in conjunction with a permanent transfer of your validly licensed copy or copies of STRATECUTION Strat/Assess copies of the SOFTWARE PRODUCT and only with an approval in writing.
3. COPYRIGHT. All title and copyrights in and to the SOFTWARE PRODUCT and any copies thereof are owned by STRATECUTION B.V. or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE PRODUCT is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content.
4. The license subscription of an operational registered version of STRATECUTION Strat/Assess is valid for one year after invoice date and will be automatically be continued for one year if not terminated in writing to Clientdeskstratecution@online.nl at least one month prior to the renewal date. A renewal invoice will be sent accordingly. The price wil each year be adjusted based on the CPI index(November of the previous year in relation to November 2008). Payment within 14 days after invoice date. Not in time payment causes after 4 weeks a formal legal omission status without warning in advance.
5. The option packs are subject to this license agreement and have to be paid only once.
6. The validity of on-line consultancy subscription hours is 2 years from invoice date onwards. On-line support will be provided with a minimum of 15 minutes will be booked per given consultation based on post calculation with tickets.
7. Netherlands GOVERNMENT RESTRICTED RIGHTS. The SOFTWARE PRODUCT is provided with RESTRICTED RIGHTS. Manufacturer is STRATECUTION B.V.
